Vellum Studio Pro — Terms of Service

1. Acceptance of Terms

By accessing, registering for, downloading, installing, or using Vellum Studio (accessible via vellumstudio.pro), or any related tools, software, plugin builders, or services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Accounts and Registration

To access certain features of the Service, including plugin export, project saving, or license management, you may be required to create an account. You agree to provide accurate, complete, and updated information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. License and Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Vellum Studio for creating, testing, and managing audio software projects, subject to these Terms of Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Modify, reverse engineer, decompile, or disassemble any core component of the Service or compiled engine binaries except as permitted by law
Use the Service in any way that could damage, disable, overburden, or impair our infrastructure or networks
Attempt to gain unauthorized access to any portion of the Service, user accounts, or connected cloud systems
Use the Service to build, distribute, or propagate malicious code, viruses, or illegal software
Remove, alter, or obscure any proprietary notices, legal notices, or digital signatures from the Service

4. User Content and Exported Projects

Your Output: You retain ownership of the original audio DSP designs, code, assets, UI layouts, presets, and plugin projects you create using Vellum Studio.

Service Assets: Vellum Studio may provide built-in templates, core engine code, WebAssembly components, and default GUI elements. Banx Engineering LLC retains all rights to its underlying core software, algorithms, and engine code.

5. Purchases, Credits, and Payments

Pay as you go: Cloud plugin builds are paid for with prepaid credits. You buy credit packs (currently "Lab" and "Launch") at the price shown at checkout when you buy. Each purchase is a one-time payment. We do not offer automatically renewing subscriptions, and we will not charge you again unless you make another purchase.

How credits work: A credit is spent only when a build finishes successfully. A build that fails does not use a credit. Credits from a pack can be used only for the type of build that pack was bought for (Lab credits for Lab builds, Launch credits for Launch builds). When you have more than one pack of the same type, credits are used from your oldest pack first. Credits do not expire, have no cash value, and cannot be transferred to another account.

Payment processing: Payments are handled by Stripe. Card details are entered on Stripe's checkout page and are never received or stored by us. Your payment is also subject to Stripe's own terms.

Refunds: We review refund requests case by case and decide each one at our discretion. To request a refund, email support@banxengineering.com from your account email with the details of the purchase. If we approve a refund, it is returned to your original payment method and the matching unused credits are removed from your account. Nothing in this section limits any rights you have under applicable consumer protection law.

Price changes: We may change prices or the contents of credit packs for future purchases. Changes do not affect credits you have already bought.

6. Disclaimer of Warranties

THE SERVICE AND ALL ACCESSIBLE TOOLS, BINARIES, OR DOWNLOADS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

IN NO EVENT SHALL BANX ENGINEERING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Intellectual Property

The Service, including its branding, logo, web application architecture, user interfaces, proprietary software engines, and original content, are owned by Banx Engineering LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Termination

We may terminate or suspend your access to the Service or your account immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the Service will immediately cease.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any changes by updating the "Last Updated" date at the top of this document and posting the updated terms on vellumstudio.pro. Your continued use of the Service after such modifications constitutes your acceptance of the updated terms.

11. Governing Law & Severability

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
